WUSA Board of Directors
The Waterloo Undergraduate Student Association’s Board of Directors is soliciting nominations for At-Large (x5) and Councillor (x2) members to serve from May 1, 2020 to April 30, 2021 (one Fiscal Year). Applicants must be eighteen (18) years of age, not be bankrupt, and be either an enrolled full-time or part-time student at the University of Waterloo. The position is voluntary, with no remuneration. Board members will however receive a discount for certain items at commercial operations.
Job Description & Duties:
The Federation of Students, University of Waterloo (known as the “Waterloo Undergraduate Student Association (WUSA)”) is a corporation chartered in Ontario under the Ontario Corporations Act, R.S.O. 1990, and has the powers of a natural person (eg. ownership of property, or entering into contracts) so as to carry out the objects outlined in the corporate charter. Directors are trustees who will act on the Corporation's behalf to further its objects in WUSA’s name. Directors appoint and oversee Officers to act day-to-day and carry liability for the corporation. Directors must respect, uphold, and comply with the Federation of Students' Policies, Bylaws, and Procedures.
Applicants, if selected, must familiarize themselves with the Ontario Corporations Act, the letters patent, the Societies Memorandum of Understanding, agreements with the University, and the Bylaws, Policies, and Procedures of the Corporation. They must also perform all duties attributed to them in the Ontario Corporations Act, in Bylaws, in Policies, and within the procedures of the Corporation. Directors shall, to a reasonable extent, respect and uphold the Policies of the Corporation in the execution of their duties. Directors are expected to attend all Board meetings, and actively participate in all proceedings. The Board of Directors must consider all recommendations made by the Students’ Council and respect, uphold, and enforce the Policies of the Corporation established by Students’ Council. Directors will be expected to say informed about committee matters, duties assignment, and prepare themselves for meetings and review and comment on minutes and reports.
